Terms of Use
Effective date: October 19, 2026 — Last updated: October 19, 2026
These Terms of Use (the “Terms”) are a binding agreement between you and Deepbyte LLC, a Florida limited liability company that operates Tuguedr (“Tuguedr,” “we,” “us,” or “our”). They govern your access to and use of https://tuguedr.com, Tuguedr's iOS and Android applications, and related services (collectively, the “Services”).
IMPORTANT: THESE TERMS CONTAIN A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS-ACTION AND JURY-TRIAL WAIVERS IN SECTION 20. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS EXPLAINED THERE.
By creating an account, clicking an acceptance button or checkbox, signing a document through the Services, or otherwise using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and Authority
You must be at least 18 years old and legally capable of entering a binding contract. The Services are intended for users in the United States. Unless Tuguedr expressly identifies another supported jurisdiction, document-generation features are intended only for Florida residential rental transactions.
If you use the Services for a company, property owner, trust, or another person, you represent that you have authority to bind that person or entity. A property manager, agent, or representative is solely responsible for maintaining every license, authorization, and disclosure required for their activities.
You represent and warrant that you are not located in a country or region subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country or region, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You may not use the Services if you are otherwise barred from doing so by law.
2. What Tuguedr Provides
Tuguedr provides self-help software that may allow users to enter rental information, assemble documents from standardized content, invite participants, obtain electronic signatures, exchange records, and store or retrieve documents. Features may change over time.
Tuguedr is not a law firm and does not provide legal advice
Tuguedr and its employees do not represent you, do not create an attorney-client relationship, and do not provide legal, tax, financial, real-estate, property-management, or insurance advice. Information, explanations, prompts, disclosures, templates, automated outputs, and support are general self-help information and are not a substitute for advice from a licensed attorney who has reviewed your facts and local law.
Tuguedr is not a party to user agreements
Tuguedr is not a landlord, tenant, property manager, broker, escrow agent, collection agency, consumer-reporting agency, guarantor, witness, notary, or party to any lease or other agreement created or signed through the Services. Tuguedr does not own, offer, inspect, manage, or control any property and does not undertake any obligation owed by one transaction participant to another.
No guarantee of legality or result
Laws, ordinances, property conditions, association rules, subsidy programs, and user circumstances vary and change. Tuguedr does not guarantee that a document is complete, current, suitable, enforceable, sufficient for a user's purpose, accepted by a court or agency, or compliant with every federal, state, county, municipal, condominium, homeowners-association, or program requirement. We do not guarantee that an electronic signature, notice, delivery method, deadline, fee, deposit term, early-termination term, or other provision is valid in a particular situation.
3. User Responsibility for Documents and Rental Decisions
You are solely responsible for:
- providing accurate, complete, current, and lawful information
- reviewing every document, term, amount, date, party name, property description, attachment, disclosure, and signature before generation or execution
- determining whether a document and its delivery method fit your facts and jurisdiction
- obtaining legal advice when you have questions or unusual circumstances
- supplying legally required notices, addenda, disclosures, permits, inspections, and translations not expressly included
- complying with landlord-tenant, fair-housing, licensing, consumer-protection, tax, building, safety, accessibility, privacy, recording, and other applicable laws
- obtaining the consent and authority necessary to provide information about another person and invite them to the Services
- independently evaluating the identity, authority, suitability, condition, representations, and performance of every other participant, and
- downloading and securely retaining final records.
Generating or signing a document confirms only that the user took the recorded action. It does not mean Tuguedr approved the transaction, verified every fact, or determined the document's legal effect.
4. Accounts and Security
An account is required to generate a document. Invited tenants or other invited signers may review and sign a document without creating a full Tuguedr account. You must provide accurate account information, keep it current, maintain the confidentiality of credentials and verification codes, and use reasonable security. You are responsible for activity attributable to your account except to the extent caused by Tuguedr's breach of an applicable legal duty.
You may sign in using email and password or supported Apple, Google, or Facebook authentication. You may not share credentials, create an account for an ineligible person, impersonate another person, bypass authentication, or use another person's account without authorization. Notify us immediately at support@tuguedr.com if you suspect unauthorized access. We may require reauthentication, suspend access, or take other reasonable protective steps.
5. Information About Other People and Invitations
If you enter another person's name, email address, phone number, or other information, you represent that you have a lawful reason and appropriate authority to do so and to request the relevant transactional communication. You must accurately identify yourself and the purpose of the invitation.
You may not use Tuguedr to send unsolicited advertising, bulk messages, harassment, or communications unrelated to a genuine transaction. We may tell an invited person who supplied their information. An invited person may contact support@tuguedr.com to report misuse.
6. Electronic Records, Signatures, and Communications
A. Consent to electronic business
You consent to conduct transactions electronically; receive these Terms, the Privacy Policy, disclosures, notices, signature requests, completed documents, and other records electronically; and use electronic signatures. Your electronic action may be attributed to you using account credentials, verification codes, device and network data, timestamps, and other audit information.
Your consent applies to your relationship with Tuguedr. Whether you and another transaction participant agree to conduct a particular transaction electronically is also governed by your agreement with that participant and applicable law.
B. Hardware and software
To access and retain electronic records, you need:
- a current smartphone, tablet, or computer with reliable internet access
- a supported current web browser or current version of the Tuguedr app
- an active email address
- software capable of displaying and saving PDF files, and
- sufficient electronic storage or access to a printer.
You confirm that you can access, display, download, and retain electronic records in these formats. We will notify you if material requirements change in a way that creates a substantial risk you cannot access or retain required records.
C. Copies, withdrawal, and contact changes
You may download and print available records without charge. Tuguedr does not provide or mail paper copies. You may withdraw consent to receive future Tuguedr records electronically by contacting support@tuguedr.com, but withdrawal does not affect prior records or signatures and may prevent continued use of features that require electronic delivery. You must keep your email address and telephone number current.
D. Signature and delivery limitations
Electronic signatures and records may have legal effect, but enforceability depends on the circumstances and applicable law. Tuguedr does not provide notarization unless a feature expressly says so and is performed through an authorized provider. A delivery or read status is technical evidence only and does not guarantee legally sufficient service or receipt. Users must determine whether certified mail, personal service, posting, notarization, witnesses, or another method is legally required.
7. No Screening or Identity Verification
Tuguedr does not perform identity verification, credit checks, criminal-history searches, eviction checks, background checks, tenant screening, or consumer reporting and is not a consumer-reporting agency. Authentication, email delivery, electronic signatures, and audit records do not guarantee a person's identity, authority, financial capacity, trustworthiness, or suitability. You must perform any lawful due diligence appropriate to the transaction and may not rely on Tuguedr to make an eligibility decision.
8. Fair Housing and Lawful Use
You must comply with the federal Fair Housing Act, the Florida Fair Housing Act, and all other applicable anti-discrimination and housing laws. You may not use the Services to discriminate, state an unlawful preference or limitation, retaliate, harass, deny a reasonable accommodation, or make housing unavailable based on a legally protected characteristic.
You are responsible for obtaining legal advice before imposing occupancy restrictions, screening standards, fees, deposits, rules, or accommodations. Tuguedr may remove content, restrict features, suspend accounts, preserve evidence, or cooperate with authorities when we reasonably believe the Services are being used unlawfully.
9. Prohibited Conduct
You may not:
- violate law, another person's rights, or these Terms
- submit false, fraudulent, defamatory, discriminatory, threatening, invasive, or unlawful content
- forge a signature, impersonate a person, misrepresent authority, or alter a completed record deceptively
- collect, expose, or misuse personal information
- upload malware or attempt to access another account, document, system, or network without authorization
- probe, scrape, reverse engineer, bypass limits, interfere with operation, or use automated means except through an interface we expressly authorize
- copy, resell, sublicense, or commercially exploit the Services or templates except as expressly permitted
- use the Services to train or benchmark a competing product without written permission
- place Social Security numbers, complete financial credentials, medical information, or other highly sensitive information in a field not designed for it, or
- help another person do any of the above.
10. User Content and License
You retain ownership of information and content you submit (“User Content”). You grant Tuguedr a nonexclusive, worldwide, royalty-free license to host, copy, format, transmit, display, and otherwise process User Content only as reasonably necessary to operate, secure, improve, and provide the Services, comply with law, and exercise our rights under these Terms. This license continues for retained backups and transaction records as described in the Privacy Policy.
You represent that you have all rights and permissions necessary to submit User Content and allow this processing. You are responsible for User Content and for maintaining your own copies.
Feedback you voluntarily provide about the Services may be used without restriction or compensation, provided we do not publicly identify you without permission.
11. Tuguedr Materials and License
The Services, including software, design, branding, templates, explanatory text, and other Tuguedr materials, are owned by Tuguedr or its licensors and protected by intellectual-property laws. Subject to these Terms, Tuguedr grants you a limited, personal, nonexclusive, nontransferable, revocable license to access and use the Services for lawful personal or internal business purposes and to use documents properly generated for your own transactions.
No rights are granted except as expressly stated. Tuguedr and its logos are trademarks or brand assets of Deepbyte LLC. Third-party names and marks belong to their owners.
12. Third-Party Services
The Services may depend on third parties for app distribution, authentication, hosting, analytics, email, payments, and electronic signatures, including Google Firebase, Google Analytics, BoldSign, SendGrid, Apple, Google, and Facebook. Your use of a third-party service may be subject to separate terms. Tuguedr is not responsible for a third party's independent service, security, availability, decisions, or acts, but this sentence does not waive any responsibility Tuguedr cannot lawfully disclaim.
Links do not imply endorsement. You are responsible for reviewing third-party terms before using an integration.
13. Free Features and One-Time Pro Purchases
The app may be downloaded and used for available basic features without charge. Tuguedr may offer a one-time Pro add-on for a particular document or transaction, including electronic-signature functionality and related signature evidence. The exact features, price, taxes, and other material purchase terms will be shown before confirmation.
Pro is a digital add-on used within the app. Purchases made through the iOS app are processed through Apple In-App Purchase, and purchases made through the Android app distributed by Google Play are processed through Google Play Billing, unless Tuguedr later implements another purchase method expressly permitted by the applicable store and updates these Terms and the purchase screen. You authorize the applicable app store to charge the displayed amount. Tuguedr does not offer a recurring subscription at launch.
Except where required by law or the applicable app store's rules, a one-time Pro fee is nonrefundable after the paid functionality or electronic-signature process has been made available or initiated. Refund requests for app-store transactions must be submitted through the applicable store's process unless the store directs otherwise. Deleting an account does not itself create a refund right. Where the platform supports restoration of a nonconsumable purchase and restoration is applicable to the product, Tuguedr will provide the required restoration functionality.
We may change prices for future purchases, but a change will not alter a completed purchase. We will not introduce a recurring charge without clear advance disclosure and the consent required by the applicable platform and law.
14. Service Changes, Availability, and Records
We may add, modify, suspend, or discontinue features for legitimate business, security, or legal reasons. We do not guarantee uninterrupted or error-free service. Maintenance, internet failures, vendor outages, security events, or other conditions may affect access.
Before discontinuing a material record-storage feature, we will provide reasonable notice and an opportunity to export records when reasonably practicable, unless urgent legal or security reasons prevent it. Nevertheless, Tuguedr is not your exclusive archive, and you must download and safely retain executed documents and notices.
15. Suspension and Termination
You may stop using the Services and request account deletion at any time. We may suspend or terminate access if we reasonably believe you violated these Terms, created legal or security risk, failed to pay fees, or used the Services fraudulently or unlawfully. Where appropriate, we will give notice and a reasonable opportunity to cure or appeal, but we may act immediately to protect users, evidence, or systems.
Termination does not cancel obligations or rights that arose earlier. Executed documents and audit trails may be retained or remain available to other signing parties as described in the Privacy Policy. Sections that by nature should survive—including ownership, disclaimers, liability limits, indemnity, disputes, and general terms—survive termination.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL TEMPLATES, OUTPUTS, DELIVERY STATUSES, AND INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TUGUEDR DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, LEGAL SUFFICIENCY, ENFORCEABILITY, AND QUIET ENJOYMENT.
TUGUEDR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, CURRENT, OR SUITABLE FOR YOUR FACTS; THAT DEFECTS WILL BE CORRECTED; THAT A PERSON IS WHO THEY CLAIM TO BE; THAT AN INVITATION OR NOTICE IS LEGALLY DELIVERED; OR THAT A PARTY WILL SIGN, PAY, PERFORM, VACATE, RETURN PROPERTY, OR COMPLY WITH AN AGREEMENT.
Some jurisdictions do not allow certain disclaimers. Those disclaimers apply only to the extent permitted by law. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUGUEDR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, RENT, REVENUE, DATA, USE, GOODWILL, OR OPPORTUNITY; PROPERTY DAMAGE; PERSONAL INJURY ARISING FROM A USER TRANSACTION; OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TUGUEDR FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.
These limitations apply to all theories of liability and even if a remedy fails of its essential purpose. They do not apply to fraud or willful misconduct by Tuguedr, or to liability that applicable law does not allow us to limit. Your payment and performance obligations to another transaction participant are not damages caused by Tuguedr.
18. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Tuguedr and its affiliates, officers, directors, employees, and contractors from third-party claims, losses, liabilities, judgments, penalties, and reasonable legal fees arising from: (a) your User Content or information you supply about another person; (b) your property, lease, screening, rental decision, notice, transaction, or relationship with another participant; (c) your violation of law, these Terms, or another person's rights; or (d) fraud, misrepresentation, willful misconduct, or unauthorized use by you.
Tuguedr will promptly notify you of a covered claim and may control the defense with counsel of its choice. You may not settle a claim in a way that admits wrongdoing by or imposes an obligation on Tuguedr without our written consent. This section does not require a consumer to indemnify Tuguedr for Tuguedr's own negligence, legal violation, or misconduct to the extent such indemnity is prohibited.
19. Informal Dispute Resolution
Before filing a claim, you and Tuguedr agree to try in good faith to resolve it informally for at least 30 days. A notice to Tuguedr must be sent by email to support@tuguedr.com and by certified mail to Deepbyte LLC, 613 Alejandro Ln, Greenacres, FL 33413, and must include your name, account email, contact information, a description of the dispute, supporting documents, and the relief requested. Tuguedr will send notice to your account email and any current mailing address you provided.
Any limitations period is tolled during this 30-day process. Either party may seek urgent temporary relief to prevent immediate harm.
20. Binding Individual Arbitration; Class and Jury Waivers
Please read this section carefully. It affects the forum in which disputes are resolved.
A. Agreement to arbitrate
Except for the matters listed below, you and Tuguedr agree that any dispute, claim, or controversy arising out of or relating to the Services, these Terms, the Privacy Policy, a transaction facilitated by Tuguedr, or the relationship between you and Tuguedr—including questions of contract formation, validity, interpretation, breach, or termination—will be resolved by final and binding individual arbitration, not in court.
This arbitration agreement is governed by the Federal Arbitration Act. The arbitrator may award any individual remedy a court could award, subject to these Terms, but may not combine claims or preside over a class or representative proceeding. The arbitrator will issue a reasoned written decision.
B. Exceptions
Either party may: (1) bring an individual claim in small-claims court if it remains within that court's jurisdiction; (2) seek temporary or preliminary injunctive relief in court to prevent unauthorized access, misuse, or infringement of intellectual property or confidential information; or (3) bring a claim that applicable law says cannot be arbitrated.
C. Rules, location, and fees
Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, as modified by these Terms. The arbitration may be conducted by video, telephone, written submissions, or in person in the county where you live, unless the parties agree otherwise. Tuguedr will pay arbitration fees to the extent required by the AAA rules or applicable law. Each party bears its own attorneys' fees unless a statute, rule, or the arbitrator authorizes an award.
If AAA is unavailable or declines to administer consistently with this agreement, the parties will select another nationally recognized administrator; if they cannot agree, a court with jurisdiction will appoint one under the Federal Arbitration Act.
D. No class or representative proceedings
YOU AND TUGUEDR AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
If a final court decision holds that applicable law prevents enforcement of this waiver for a particular claim or remedy, only that claim or remedy will proceed in court after all arbitrable matters are completed.
E. Jury-trial waiver
For any dispute heard in court, YOU AND TUGUEDR KNOWINGLY AND VOLUNTARILY WAIVE A TRIAL BY JURY to the fullest extent permitted by law.
F. Thirty-day right to opt out
You may opt out of this arbitration agreement by sending an email to support@tuguedr.com within 30 days after you first accept these Terms. The email must include your full name, account email, mailing address, and a clear statement that you opt out of the Tuguedr arbitration agreement. Opting out will not affect other Terms or your access to the Services. If you validly opt out, or if this arbitration agreement is found unenforceable, Section 21 governs disputes in court.
G. Changes to arbitration terms
If Tuguedr materially changes this Section after your acceptance, the change will not apply to a claim of which Tuguedr had actual notice before the change. We will provide advance notice and any new opt-out opportunity required by law.
21. Governing Law and Courts
These Terms are governed by Florida law, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 20. For a claim permitted to proceed in court, you and Tuguedr consent to the exclusive jurisdiction and venue of the state courts located in Palm Beach County, Florida, and the U.S. District Court for the Southern District of Florida, except that an eligible small-claims case may be filed in the county allowed by applicable law.
Nothing in this section deprives a consumer of a nonwaivable protection of the law of the consumer's state of residence.
22. Mobile App End-User License and App-Store Terms
This Section, together with the remainder of these Terms, serves as Tuguedr's end-user license agreement for the mobile app. These Terms are between you and Tuguedr, not Apple Inc. (“Apple”) or Google LLC (“Google”). Tuguedr, not an app store, is solely responsible for the app and its content, maintenance, support, and any warranties not effectively disclaimed. Apple and Google have no obligation to furnish maintenance or support services for the app.
Your app license is limited to a nontransferable right to use the app on devices you own or control as permitted by the applicable store's usage rules, including use through permitted Family Sharing, volume-purchase, or Legacy Contact features. You must comply with all applicable third-party agreements when using the app, including the Apple Media Services Terms and Conditions, Google Play terms, and your wireless-data service agreement. No license in these Terms authorizes use that conflicts with mandatory store usage rules.
To the extent required by Apple's minimum terms:
- if the app fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation, and Tuguedr is solely responsible for any other claims, losses, liabilities, damages, costs, or expenses attributable to a warranty failure;
- Tuguedr, not Apple, is responsible for addressing claims by you or a third party relating to the app or your possession or use of it, including product-liability, legal- or regulatory-compliance, consumer-protection, and privacy claims;
- Tuguedr, not Apple, is solely responsible for investigating, defending, settling, and discharging intellectual-property infringement claims relating to the app or your possession and use of it; and
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right and are deemed to have accepted the right to enforce this Section against you.
Google and its affiliates are not responsible for the app or disputes between you and Tuguedr. Store terms control only to the extent they mandatorily apply to your download or purchase.
23. Changes to These Terms
We may update these Terms for legal, security, operational, or feature changes. We will post the revised Terms and update the date. For a material change, we will provide advance notice as required and request renewed acceptance where appropriate. Changes do not retroactively alter a dispute of which we had actual notice before the change. Continuing to use the Services after the effective date of properly noticed changes means you accept them, except where law requires another form of consent.
24. General Terms
- Entire agreement. These Terms, the Privacy Policy, purchase disclosures, and any feature-specific terms presented to you form the entire agreement between you and Tuguedr concerning the Services. A lease or other transaction agreement is separately between its named parties.
- Order of precedence. Feature-specific terms control for that feature; purchase terms control for that purchase; these Terms otherwise control. No lease term makes Tuguedr a party unless Tuguedr separately signs an express written agreement saying so.
- Assignment. You may not assign these Terms without our written consent. Tuguedr may assign them in connection with a merger, reorganization, financing, or sale of all or substantially all relevant assets, subject to applicable law.
- Severability. Except as specifically stated in Section 20, if a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder remains effective.
- No waiver. Failure to enforce a provision is not a waiver.
- No third-party beneficiaries. Except for Apple as stated in Section 22, these Terms create no third-party beneficiary rights.
- Force majeure. Tuguedr is not liable for delay or failure caused by events beyond reasonable control, subject to nonwaivable law.
- Headings. Headings are for convenience only.
- Language. The English version is the controlling agreement. A Spanish or other translation is provided for convenience; nonwaivable language-access rights remain unaffected.
